These Terms of Service govern your access to and use of the website operated
by {{COMPANY}} trading as {{DBA}} (“we”, “us”, “our”), and your purchase of any
product from it. By using this site or placing an order you agree to these
terms. If you do not agree, do not use the site.

1. Eligibility

You must be at least twenty-one years of age and legally able to form a
binding contract. You must be acquiring product for lawful research purposes.
You must be legally permitted to receive the product at your delivery address
under the laws of your jurisdiction. We may refuse or cancel any order where we
reasonably believe any of these is not met.

2. Nature of the products

All products offered are research chemicals supplied strictly for in-vitro
laboratory research. They are not drugs, dietary supplements, food, cosmetics or
medical devices. They have not been evaluated or approved by the U.S. Food and
Drug Administration or any comparable authority for any therapeutic,
diagnostic, preventative or nutritional use.

{{COMPANY}} is a chemical supplier. It is not a compounding pharmacy as
defined under Section 503A of the Federal Food, Drug, and Cosmetic Act, and it
is not an outsourcing facility as defined under Section 503B of that Act. No
product is dispensed under a prescription or supplied for clinical use.

3. Your representations

By placing an order you represent and warrant that:

• you are twenty-one or older;
• you are purchasing solely for lawful laboratory research;
• you will not administer any product to a human or an animal, and will not
  supply it to anyone who intends to;
• you are qualified, equipped and trained to handle, store and dispose of
  research chemicals safely;
• you will comply with all applicable laws and institutional requirements
  governing your use of the product;
• you will not resell, repackage or redistribute the product for human or
  veterinary use, or represent it as fit for such use;
• the information you give us, including your age attestation and delivery
  address, is accurate.

These representations are a material condition of every sale. A breach voids
any warranty and terminates your right to use the site.

4. Prohibited uses

You may not use this site or any product obtained from it to manufacture,
compound, formulate or distribute any substance for human or veterinary
administration, to make therapeutic claims about any product, to circumvent any
regulatory requirement, or for any unlawful purpose.

5. Orders and acceptance

Your order is an offer to buy. No contract exists until we accept the order
and dispatch the product. We may decline or cancel any order, in whole or in
part, at our discretion and without stating a reason, including for suspected
misuse, suspected fraud, pricing or listing errors, stock unavailability, or
where the delivery destination is restricted. If we cancel an order that has
been paid for, we refund it in full.

6. Pricing and payment

Prices are in U.S. dollars and exclude tax and shipping unless stated. We
accept credit and debit cards only. We do not accept cryptocurrency, PayPal,
ACH, wire transfer, money order, check or cash on delivery.

You authorise us to charge your card for the total order amount. Payment is
processed by a third-party payment processor. We do not receive or store your
full card number.

We may correct pricing or description errors at any time before dispatch. If
a corrected price is higher than the price you were charged, we will contact you
and you may cancel for a full refund.

7. Promotions

Promotional offers, including buy two get one free, apply only as described
at the time of the order, apply to eligible items only, cannot be combined with
other offers unless expressly stated, and may be withdrawn or amended at any
time. Where a promotion discounts an item to zero, the value attributed to that
item for refund purposes is zero. See the refund
policy for how promotional items are handled on a partial return.

8. Shipping, title and risk

Shipping terms are set out in the shipping
policy, which forms part of these terms. Title and risk of loss pass to you
on delivery to the carrier. Delivery dates are estimates and are not
guaranteed.

9. Limited warranty

We warrant only that, at the time of dispatch, the product conforms in
identity and purity to the certificate of analysis published for its batch. This
warranty runs for thirty days from delivery and is void if the product has been
opened, decanted, diluted, repackaged, contaminated or stored outside the
published conditions.

Your sole and exclusive remedy for breach of this warranty is, at our option,
replacement of the product or refund of the purchase price.

10. Disclaimer

Except for the limited warranty above, all products are supplied “as is” and
“with all faults”. We disclaim, to the fullest extent permitted by law, all
other warranties, express or implied, including any implied warranty of
merchantability, fitness for a particular purpose, non-infringement, or arising
from course of dealing or usage of trade.

We make no representation that any product is safe or effective for any use,
and specifically make no representation that any product is suitable for
administration to any human or animal.

11. Limitation of liability

To the fullest extent permitted by law, neither {{COMPANY}} nor its officers,
employees or agents will be liable for any indirect, incidental, special,
consequential, exemplary or punitive damages, or for lost profits, lost data,
personal injury or property damage, arising out of or relating to the site or
any product, whether based in contract, tort, strict liability or any other
theory, even if advised of the possibility.

Our total aggregate liability arising out of or relating to any product or
order will not exceed the amount you paid for that order.

Some jurisdictions do not permit the exclusion of certain warranties or the
limitation of certain damages. Where that applies, the exclusions and
limitations above apply to the greatest extent permitted.

12. Indemnification

You agree to indemnify, defend and hold harmless {{COMPANY}} and its
officers, employees and agents from any claim, liability, loss, damage, cost or
expense, including reasonable legal fees, arising out of your use, handling,
storage, disposal, resale or administration of any product, your breach of these
terms, your breach of any representation in section 3, or your violation of any
law or third-party right.

13. Intellectual property

All content on this site, including text, layout, graphics, chromatograms and
the {{DBA}} name and marks, is owned by or licensed to {{COMPANY}} and is
protected by intellectual property law. You may not reproduce, distribute or
create derivative works from it without our written permission.

14. Governing law and disputes

These terms are governed by the laws of the State of {{STATE}}, without
regard to its conflict-of-laws rules. Any dispute arising out of or relating to
these terms or any product will be brought exclusively in the state or federal
courts located in {{COUNTY}}, {{STATE}}, and you consent to the personal
jurisdiction of those courts.

15. Changes

We may amend these terms at any time by posting a revised version with a new
effective date. Changes apply to orders placed after the revision. Your
continued use of the site constitutes acceptance.

16. Severability and entire agreement

If any provision is held unenforceable, it will be limited or severed to the
minimum extent necessary and the remaining provisions remain in force. These
terms, together with the policies referenced in them, are the entire agreement
between you and us regarding the site and any product.
